Coup de Main Terms of Service
Welcome to Coup de Main. These terms are a contract between you and Manhattin Inc. ("Manhattin", "we"), which operates the app and the websites lecoupdemain.ca and lecoupdemain.app (together, the "Platform"). Please read them carefully: by creating an account, you accept them.
These terms refer to other documents that form part of them:
- the Privacy Policy;
- the Community Guidelines;
- the Video Recording Consent, the In-App Call Notice and the Background Check Consent, when you use those features.
1. Who we are
Manhattin Inc. · 215 rue Murray #306, Montréal QC H3C 0B5 · Quebec enterprise number (NEQ) [to complete] · Phone: [to complete] · Email: [support@lecoupdemain.ca — to confirm]
2. What Coup de Main does — and doesn't do
2.1 A matching platform. Coup de Main helps individuals and small businesses ("Clients") find independent housekeepers, babysitters and maintenance workers ("Workers"). Both sides must show interest in the same job (a "Match") before they can talk.
2.2 We don't employ Workers. Workers are independent. Manhattin is not their employer, agent or placement agency. We don't set their rates, schedules or methods, we don't instruct them on how to do the work, and we don't supervise it. Workers choose which jobs interest them, what they charge and how they work.
2.3 We are not a party to your agreements. The service agreement is made directly between the Client and the Worker. Price, schedule, scope, payment, cancellations and quality of work are up to them alone. During the beta, the Platform does not process any payments between Clients and Workers.
2.4 Your legal obligations are your own. Each user is responsible for identifying and meeting their own obligations: tax status, GST/QST registration, permits and licences (for example from the Régie du bâtiment du Québec for regulated trades), insurance and, where applicable, an employer's obligations if a Client–Worker relationship becomes employment under the law. If in doubt, ask a professional.
2.5 No guarantee about people. Checks and badges (section 7) reduce risk but do not eliminate it. We don't guarantee any user's identity, conduct or skill, or the outcome of any work. Use your judgment and follow our safety tips.
3. Eligibility and account
3.1 Clients and businesses must be 18 or older and able to enter into a contract. Workers must be 14 or older: a Worker aged 14 to 17 can sign up only with the invite code of a linked, ID-verified parent or guardian, who approves the profile and each booking. We block anyone under 14. The app is rated 16+ in the app stores.
3.2 One account per person. The same account can be used as both a Client and a Worker.
3.3 You sign in with Apple, Google, or a code sent by email. You are responsible for keeping your access secure and for all activity on your account. Tell us promptly about any unauthorized use.
3.4 Your profile information must be accurate, current and about you. Don't use another person's photo or identity.
3.5 The Platform opens city by city. Outside open cities, you can join the waitlist.
4. Business accounts
4.1 A business can create an account, manage its locations and invite team members (owner or manager). Team members can see the business's jobs, matches and conversations and reply on its behalf.
4.2 The person who creates a business account confirms they are authorized to bind the business. The business is responsible for its team members' actions and for removing access for people who no longer need it.
4.3 The consumer protection rules described here apply only to the extent the law makes them apply; some clauses aimed specifically at businesses are marked as such.
4.4 Integrations, API and Zapier (clause for business accounts only). A business can connect a customer relationship management tool (for example HubSpot, Zoho CRM or Salesforce), use our programming interface (API) and webhooks, or use our Zapier app (together, "Integrations"). By turning on an Integration, the business instructs us to send the information it selects to the system it designates. In particular:
(a) Information the business receives or pulls into its own systems through an Integration is under its control. For that information, the business is a person carrying on an enterprise that is responsible for it separately from Manhattin under the Act respecting the protection of personal information in the private sector and any other applicable privacy law. It must protect it, use it only for purposes related to its dealings with Workers on the Platform, keep it no longer than necessary and respond to requests from the people concerned.
(b) Workers' personal information (for example name, photo, rating or contact details) is sent through an Integration only if the Worker has consented for that business. If a Worker withdraws consent, we stop sending it and notify the business, which must then delete that Worker's personal information obtained through the Integration, unless the law requires it to keep it.
(c) The business is responsible for the tools it connects, their providers and the place where they store information, and for the access its users, API keys and webhook secrets give. It must keep keys and secrets confidential and tell us promptly about any unauthorized use.
(d) Disconnecting an Integration stops future sends and revokes our access to the connected tool. It does not delete what the business already received; the business remains responsible for that information.
(e) We may suspend an Integration, an API key or a webhook that endangers the security of the Platform or breaches these terms, and set reasonable usage limits.
5. Using the Platform
5.1 Jobs and selection. Clients post jobs (task, date, area, budget, required badges). Clients and Workers show interest by swiping. The order in which cards appear is set by a relevance ranking system (distance, availability, categories, badges, recent activity and other factors described in the Privacy Policy). Ranking never removes anyone from the Platform and never relies on protected characteristics. Filters cover work-related criteria only.
5.2 Messaging and calls. After a Match, you can chat and call each other in the app. Your contact details and exact address stay hidden until you both choose to share them. We recommend staying in the app until the work is done. Calls are end-to-end encrypted and not recorded; see the In-App Call Notice.
5.3 Video Q&A. You can answer questions on video. Your answers are visible only to people you have an active Match with. See the Video Recording Consent.
5.4 Bookings and reviews. A booking card lets you confirm the agreed date, time and rate. After a completed booking, each side can leave an honest review based on their real experience; both reviews are revealed together. Offering or demanding anything in exchange for a review is prohibited.
5.5 Invoices. A Worker can prepare and send an invoice to a business Client through the Platform. The Worker alone is responsible for the invoice's content, including applicable taxes. The "paid" or "void" status is a tracking tool; it is not proof of payment.
5.6 Payments off the Platform. During the beta, payments are made directly between you. Never pay a deposit to someone you haven't met, and be wary of any unusual payment request.
6. Your content
6.1 You keep ownership of what you post (photos, text, videos, reviews, messages). You grant us a non-exclusive, royalty-free, worldwide licence, limited to the time needed, to host, reproduce, adapt (for example compress a video or generate captions and a translation) and display that content only to operate, secure and improve the Platform, and according to the visibility settings described in the Privacy Policy. We don't use your videos for advertising without your separate consent.
6.2 You confirm you have the right to post the content and the consent of anyone who appears in it. Don't film or photograph children or other people without their permission, and avoid details that could identify your home.
6.3 We may remove content that breaches these terms, the Community Guidelines or the law.
7. Trust services (ID verification, background checks, documents)
7.1 At cost. ID verification and background checks are sold at the price the provider charges us, plus card processing fees, with no profit to us. The itemized price (provider cost, processing fee, applicable taxes [to confirm], total) is shown before payment. Example: ID verification $2.00 + $0.37 processing = $2.37.
7.2 Providers. ID verification is performed by Stripe Identity; background checks by an authorized provider ([Certn — to confirm]). These providers may present their own terms.
7.3 What a badge means. A badge shows that a specific check was done on a specific date, with the result shown. It is neither an endorsement nor a guarantee. Each badge has a page explaining what it covers and doesn't cover. Background check badges expire after 12 months.
7.4 Cancellation and refunds. You can cancel a trust service for a full refund as long as the request has not been sent to the provider. Once the check has started, the service is considered rendered, unless it cannot be completed for a reason not attributable to you, in which case we refund you. These rules are in addition to your rights under Quebec's Consumer Protection Act, including for distance contracts.
7.5 Uploaded documents. For checks we review ourselves (a vulnerable sector check obtained from a police service, licences, insurance, certificates), a member of our team reviews the document. You confirm documents are genuine; a forged document results in account closure.
8. Subscriptions (when offered)
[Activate this section when the Pro and Plus subscriptions launch.]
8.1 Price, billing period, taxes and renewal date are shown before purchase. A subscription renews automatically until you cancel it.
8.2 You can cancel at any time, at no cost, using an easy-to-find cancellation button available online, or through App Store or Google Play settings if you bought through them.
8.3 If a subscription starts with a free or discounted period, we notify you in writing before it ends of the end date and the price that will apply afterwards.
8.4 A price increase applies only with the notice described in section 13.
9. Conduct rules
You agree to follow the Community Guidelines. In particular, you must not:
- harass, threaten, discriminate against or endanger anyone;
- create a fake profile, impersonate someone or lie about your qualifications, licences or checks;
- offer regulated work (electrical, plumbing, gas, etc.) without the required licence;
- record a call or conversation without the other person's consent, or share their images, videos or information;
- use the Platform for scams, unwanted commercial solicitation or mass recruiting;
- scrape data, bypass our security measures or interfere with the Platform.
10. Reports, moderation and enforcement
10.1 You can report a person, job, message, video or review at any time. In immediate danger, call 911.
10.2 We use automated tools to flag content for review (for example frames sampled from videos, or messages suggesting off-platform payment). These tools can show a warning, but any action against your account (content removal, suspension, closure) is decided by a person on our team.
10.3 If we have reasonable grounds to believe a user has breached these terms or is endangering someone, we may, depending on severity: warn, remove content, remove a badge, limit features, suspend or close the account. Where safety is at risk, a temporary suspension may be immediate.
10.4 Unless doing so would endanger someone or compromise an investigation, we tell you about the action and why, and you can send us your observations so that another member of our team reviews the decision. You keep all your rights to go to court.
11. Closing your account
11.1 You can close your account at any time under Settings > Privacy and data. Your account is hidden immediately and permanently deleted 7 days later. To cancel, sign in before that date. After deletion, your videos are gone and your other information is deleted on the timelines in the Privacy Policy, except records we must or may keep under the law (for example payment records and safety records).
11.2 We may end your access under section 10, or stop offering the Platform with reasonable notice of at least [30] days, except in an emergency.
12. Liability
12.1 We provide the Platform with reasonable care, but cannot guarantee it will always be available or error-free.
12.2 Clients and Workers are third parties independent of Manhattin. We are not responsible for their acts, omissions, agreements or quality of service, unless a fault on our part contributed to the harm.
12.3 Nothing in these terms limits our liability for our own gross or intentional fault, for bodily or moral injury we cause, or for anything the law does not allow us to exclude. If you are a consumer, this section applies only to the extent permitted by the Consumer Protection Act and the Civil Code of Québec.
12.4 Clause for business accounts only: to the extent permitted by law, a business user indemnifies Manhattin against third-party claims arising from its breach of these terms or the law.
13. Changes to these terms
13.1 We may change the following elements of these terms: the description and operation of features, conduct rules, moderation and safety rules, the trust services offered and their providers, and subscription terms. We don't unilaterally change an essential element of a fixed-term contract, such as a subscription's price during its current term.
13.2 At least 30 days before a change takes effect, we send you a clear, legible written notice setting out the new clause (or the amended clause and the former version), the effective date and your rights.
13.3 If the change increases your obligations or reduces ours, you may refuse it and terminate your contract without cost or penalty by telling us no later than 30 days after it takes effect.
14. Governing law and courts
14.1 These terms are governed by the laws of Quebec and the federal laws of Canada that apply there.
14.2 Disputes go to the courts of Quebec, judicial district of Montreal. If you are a consumer, you may also sue in the court of your domicile or residence; nothing in these terms takes away that right or the protection of the mandatory rules of the place where you live.
14.3 Nothing in these terms requires you to submit a dispute to arbitration or limits your right to go to court, to bring a class action or to be a member of one. Once a dispute has arisen, we may both agree to mediation or arbitration.
14.4 Before taking action, please write to us: most disagreements are resolved quickly. You can also contact the Office de la protection du consommateur.
15. Language
The French version of these terms is provided to you first and prevails. An English version is available; if you expressly choose to be bound by the English version, related documents may be sent to you in English.
16. General
If a clause is found invalid, the others remain in force. Not exercising a right is not a waiver. You may not assign this contract without our consent; we may assign it as part of a reorganization or sale of the business, subject to the law and the Privacy Policy.
